Compensation Committee Responsibilities

The Compensation Committee shall meet at least twice a year and additionally as needed. The committee shall act with due care and loyalty to perform the following duties and submit recommendations to the Board:

1.     Establish and periodically review policies, systems, standards, and structures for evaluating and compensating directors and executives.

2.     Regularly assess and determine the compensation of directors and executives.

When performing these duties, the committee shall follow these principles:

  • Compensation should      align with industry norms and reasonably reflect individual performance,      company results, and future risks.

  • Directors and      executives should not be incentivized to take risks beyond the company’s risk      appetite.

  • The proportion and      timing of bonuses and variable pay should consider industry      characteristics and business nature.
